These Terms of Service (“Terms”) form a legally binding agreement between you and Perpetuoso Inc., a Delaware corporation (“Perpetuoso,” “we,” “us,” or “our”).
These Terms govern your access to and use of the Perpetuoso website at perpetuoso.com, the Perpetuoso Career Companion, Perpie, and all related applications, features, services, content, and functionality that we make available (collectively, the “Service”).
Please read these Terms carefully.
By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to be bound by these Terms and acknowledge our Privacy Policy.
If you do not agree to these Terms, do not create an account or use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Perpetuoso.
By creating an account, you represent that:
- You are at least 18 years old.
- The information you provide when creating your account is accurate.
- You have authority to agree to these Terms.
- Your use of the Service will comply with applicable law.
If you use Perpetuoso on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. What Perpetuoso Is
Perpetuoso is an AI-assisted career companion designed to help individuals organize and preserve career information, identify and evaluate employment opportunities, prepare application materials, manage aspects of their job search, and prepare for interviews.
Features may include:
- Career record creation and management
- Resume and career-document importing
- Career Foundation development
- Job opportunity discovery
- Job and application tracking
- Job-to-candidate fit analysis
- Requirement and evidence mapping
- Resume generation and editing
- Cover-letter generation
- Interview preparation
- Mock interviewing and coaching
- AI-assisted career conversations through Perpie
- Career evidence preservation
- Application history and continuity
- Professional positioning and recommendations
- Other career-management tools
Perpetuoso is not an employer, recruiting agency, staffing firm, employment placement service, or agent acting on behalf of an employer unless we expressly state otherwise for a specific service.
Perpetuoso does not make hiring decisions.
3. No Guarantee of Employment or Career Outcomes
Perpetuoso is intended to help you make better-informed career and job-search decisions. It cannot guarantee outcomes.
We do not guarantee:
- That you will receive an interview
- That you will receive a job offer
- That an employer will respond to your application
- That an employer will accept a resume generated using Perpetuoso
- That an applicant tracking system will rank or process a document in a particular manner
- That a particular opportunity is still available
- That a job listing is accurate
- That a fit score predicts an employer's decision
- That salary or compensation information is accurate
- That using Perpetuoso will result in employment
- Any particular career, compensation, or professional outcome
Fit scores, recommendations, evidence assessments, application analyses, rankings, coaching, and similar information are decision-support tools. They are not predictions or guarantees of employer behavior.
4. Your Account
You are responsible for maintaining the confidentiality and security of your account credentials.
You agree to:
- Provide accurate account information.
- Keep your credentials confidential.
- Use your account only for authorized purposes.
- Notify us promptly if you suspect unauthorized access.
- Not knowingly allow another person to impersonate you through your account.
You are responsible for activity conducted through your account to the extent permitted by applicable law.
We may require reasonable verification before processing certain account, privacy, security, or deletion requests.
5. Your Career Information and Other Content
You may provide information to Perpetuoso including resumes, employment history, accomplishments, skills, education, certifications, professional preferences, job descriptions, application records, notes, interview responses, conversations, documents, and other materials.
We refer to this information collectively as “User Content.”
As between you and Perpetuoso, you retain your ownership rights in your User Content.
You grant Perpetuoso a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, transform, transmit, and otherwise use User Content only as reasonably necessary to:
- Provide the Service to you
- Maintain your career record
- Generate requested materials
- Analyze career evidence and opportunities
- Maintain continuity between sessions
- Operate Perpie and other AI-assisted functionality
- Secure and maintain the Service
- Diagnose technical problems
- Prevent fraud or abuse
- Comply with applicable law
- Perform other processing described in our Privacy Policy
This license does not give Perpetuoso ownership of your career history.
Perpetuoso does not sell your personal information.
6. Your Responsibility for Information You Provide
Perpetuoso depends on the accuracy of the information provided to it.
You are responsible for reviewing and correcting your career information.
You agree not to knowingly provide false information for the purpose of creating misleading professional materials, including false:
- Employers
- Employment dates
- Job titles
- Accomplishments
- Responsibilities
- Education
- Degrees
- Certifications
- Credentials
- Skills
- Professional licenses
- Metrics or business results
You must have the right to provide any information or documents that you upload.
Do not upload confidential information, trade secrets, proprietary employer information, personal information concerning another person, or other material that you are not authorized to provide.
7. Career Evidence, Resume Integrity, and User Review
Perpetuoso is designed to help users present their actual professional experience accurately and effectively.
The Service may use automated systems, evidence comparisons, validation processes, or other safeguards intended to reduce unsupported claims, inconsistencies, fabrication, attribution errors, or other problems in generated career materials.
These safeguards are not perfect.
They do not guarantee that every generated statement is accurate.
You remain responsible for reviewing every resume, cover letter, application response, interview answer, professional summary, and other career document before submitting or relying on it.
You should verify, at minimum:
- Employer names
- Job titles
- Employment dates
- Education
- Certifications
- Skills
- Accomplishments
- Metrics
- Scope of responsibility
- Statements concerning leadership or ownership
- Claims regarding technologies, methods, or professional expertise
You should not submit a claim that you cannot truthfully explain or defend.
8. Artificial Intelligence Features
Perpetuoso uses artificial intelligence and machine-learning technologies to provide portions of the Service.
AI-assisted features may analyze User Content, job descriptions, professional evidence, user instructions, and other information to produce recommendations, analyses, documents, responses, or other output.
Artificial intelligence can make mistakes.
AI-generated or AI-assisted content may:
- Contain factual errors
- Omit important information
- Misinterpret information
- Produce unsupported conclusions
- Use inappropriate wording
- Misunderstand a user's intent
- Describe a feature or capability incorrectly
- Produce different results from similar inputs
- Generate information that requires additional verification
Perpetuoso uses safeguards intended to improve reliability but cannot guarantee the accuracy or completeness of AI output.
AI Statements About Actions
A conversational statement from Perpie or another AI feature does not, by itself, mean that an action has actually occurred.
For example, an AI-generated statement that information has been saved, deleted, updated, submitted, flagged, reported, sent, or otherwise changed should be treated as completed only when the Service actually supports that action and provides appropriate confirmation that the action occurred.
AI-generated conversation does not independently authorize Perpie to:
- Contact an employer
- Submit a job application
- Change a user's career record
- Delete information
- Send communications
- File a support request
- Create a transaction
- Make a binding commitment on behalf of Perpetuoso
unless an actual Service feature provides and confirms that functionality.
9. Generated Career Materials
Perpetuoso may generate resumes, cover letters, summaries, evidence maps, professional narratives, interview-preparation materials, coaching responses, recommendations, and similar content.
As between you and Perpetuoso, and to the extent permitted by applicable law, Perpetuoso does not claim ownership of career documents generated specifically for you from your User Content.
You may use those materials for your personal career and professional purposes.
AI-generated language may not be unique. Similar or identical language may be generated for other users.
Perpetuoso does not guarantee that generated material qualifies for copyright protection or that similar material has not been generated independently for another person.
10. User Control
Perpetuoso is intended to support human judgment, not replace it.
You remain responsible for decisions including:
- Whether to pursue an opportunity
- Whether an opportunity is appropriate for you
- Whether information in your Career Foundation is correct
- Which professional claims represent you accurately
- Whether to use a generated resume
- Whether to submit an application
- How to answer an interview question
- Whether to accept an offer
- Whether compensation or employment terms are appropriate
Perpetuoso may recommend, rank, analyze, or generate information, but you remain the final decision-maker.
11. Job Listings and Third-Party Information
Perpetuoso may locate, display, summarize, analyze, organize, or link to employment opportunities and other information originating from third parties.
Third-party information may become inaccurate or outdated.
Perpetuoso does not control whether:
- A job remains open
- A job description is accurate
- A salary range is current
- An employer has changed its requirements
- A listing is duplicated
- An employer has stopped accepting applications
- A recruiter or employer responds
- A third-party website remains available
You should verify important employment information with the employer or authoritative source before relying on it.
12. Third-Party Websites and Services
Perpetuoso relies on third-party technology and service providers for certain functionality, which may include authentication, cloud infrastructure, databases, artificial intelligence processing, analytics, search, hosting, communications, job data, and related services.
Your use of some Perpetuoso features may therefore involve processing by or interaction with third-party providers.
Third-party websites and services have their own terms, policies, and operating practices.
Perpetuoso is not responsible for third-party services outside our reasonable control.
Links to third-party websites do not constitute an endorsement or guarantee of those websites or services.
13. Privacy
Our collection, use, disclosure, processing, storage, and protection of personal information are described in our Privacy Policy.
By using the Service, you acknowledge that information will be processed as described in the Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
14. Acceptable Use
You may use Perpetuoso only for lawful purposes.
You may not use the Service to:
- Violate applicable law
- Commit fraud
- Misrepresent your identity
- Impersonate another person
- Knowingly fabricate professional qualifications
- Generate or submit intentionally false employment information
- Infringe another person's intellectual-property rights
- Upload information you have no right to use
- Harass or threaten another person
- Distribute malware or malicious code
- Compromise the security of the Service
- Circumvent authentication or access controls
- Obtain unauthorized access to another user's account or information
- Probe, scan, or test Service vulnerabilities without permission
- Interfere with the Service or its infrastructure
- Abuse rate limits, usage limits, or APIs
- Conduct unauthorized automated scraping
- Resell access to the Service without written permission
- Use the Service to build or train a competing product through systematic extraction of Perpetuoso's proprietary materials
- Attempt to obtain passwords, credentials, secret keys, private system instructions, or protected internal information through malicious or deceptive techniques
We may investigate suspected misuse.
15. Perpetuoso Intellectual Property
Except for User Content and rights expressly granted to you, Perpetuoso and its licensors retain all right, title, and interest in the Service.
This includes rights relating to:
- Software
- Source code
- Application architecture
- User interfaces
- Designs
- Databases
- Product functionality
- Proprietary workflows
- Evaluation systems
- Evidence-processing systems
- Prompts and orchestration
- Documentation
- Logos
- Branding
- Trademarks
- Perpie
- Perpetuoso
- Website content
- Product methodologies
- Other proprietary materials
These Terms do not transfer ownership of Perpetuoso intellectual property to you.
You may not copy, modify, distribute, sublicense, sell, lease, reverse engineer, decompile, or commercially exploit material portions of the Service except as expressly authorized by Perpetuoso or permitted by applicable law.
16. Feedback
We welcome product feedback.
If you provide ideas, suggestions, bug reports, feature requests, recommendations, or other feedback regarding Perpetuoso, you grant us permission to use that feedback without restriction or compensation.
Providing feedback does not give Perpetuoso ownership of your underlying career information or other User Content.
Perpetuoso will not represent that feedback has been submitted, recorded, escalated, or acted upon unless an actual mechanism has performed that action.
17. Beta, Preview, and Experimental Features
Some features may be identified as beta, preview, experimental, early access, or otherwise under development.
Such features may:
- Contain errors
- Behave unexpectedly
- Change substantially
- Be unavailable temporarily
- Produce incomplete results
- Be discontinued
- Have different usage limits from production features
You should maintain independent copies of career materials that are important to you.
Use of a beta or experimental feature does not create a commitment by Perpetuoso to release or maintain that feature permanently.
18. Changes to the Service
Perpetuoso is an evolving product.
We may add, remove, modify, replace, or discontinue features as we develop the Service.
We may also change technical providers, models, workflows, interfaces, usage limits, or feature availability.
Where a change materially affects a paid feature or contractual right, we will provide notice where required by applicable law.
19. Fees, Subscriptions, and Paid Features
Perpetuoso may offer free, beta, trial, promotional, subscription, or other paid plans or features.
Before charging you, we will disclose applicable information such as:
- Price
- Currency
- Billing frequency
- Included features
- Material usage limits
- Whether the purchase is recurring
- Renewal terms
- Cancellation method
- Applicable trial terms
You will not be enrolled in a paid service without authorization.
If you purchase a recurring subscription, you authorize the applicable recurring charges disclosed at the time of purchase until the subscription is canceled in accordance with the disclosed cancellation process.
Applicable taxes may be added where required.
Refunds will be provided according to the terms presented at purchase and as required by applicable law.
We may change prices for future billing periods. When required, we will provide advance notice before a price change applies to an existing recurring subscription.
20. Electronic Communications
You agree that we may provide account-related communications electronically, including through:
- The Service
- Account notifications
- Other electronic methods reasonably associated with your account
Electronic communications may include service announcements, security notices, legal notices, billing information, and changes to applicable terms.
Marketing communications are handled separately and may be subject to additional consent and opt-out requirements.
21. Service Availability and Security
We work to maintain the availability, reliability, and security of Perpetuoso, but no online service can guarantee uninterrupted operation.
The Service may occasionally be unavailable because of:
- Maintenance
- Software errors
- Third-party outages
- Infrastructure failures
- Security events
- Internet interruptions
- Changes to external APIs
- Events outside our reasonable control
We may temporarily limit access when reasonably necessary to protect users, data, or the Service.
22. Suspension and Termination
You may stop using Perpetuoso at any time.
You may request account deletion through functionality provided by the Service or by contacting us at legal@perpetuoso.com.
We may suspend or terminate an account when reasonably necessary because of:
- A material violation of these Terms
- Fraud
- Illegal activity
- Security threats
- Unauthorized access
- Abuse of the Service
- Material infringement of another person's rights
- Nonpayment of amounts properly due
- Conduct that materially harms Perpetuoso or other users
Where reasonably appropriate, we may provide notice or an opportunity to correct the issue.
We may also discontinue all or part of the Service.
Termination does not eliminate obligations or rights that arose before termination.
Provisions concerning intellectual property, User Content rights, disclaimers, limitations of liability, dispute resolution, and other provisions that by their nature should survive termination will remain effective.
Information associated with a terminated account will be handled according to our Privacy Policy and applicable law.
23. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Perpetuoso and the Service are provided “as is” and “as available.”
To the maximum extent permitted by law, Perpetuoso disclaims all express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Service will always be available
- The Service will be free of errors
- AI-generated content will always be accurate
- Generated career materials will be complete or error-free
- Information from third parties will be current
- A job listing will remain available
- A resume will produce a particular result
- An employer will respond to or accept an application
- The Service will meet every user's particular requirements
- Every security incident can be prevented
Nothing in these Terms limits warranties or rights that cannot lawfully be excluded.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Perpetuoso Inc. and its directors, officers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Service.
This includes, to the extent permitted by law, damages for:
- Lost employment opportunities
- Lost income or profits
- Lost data
- Loss of goodwill
- Business interruption
- An employer's decision
- Reliance on AI-generated information
- Reliance on third-party job information
To the maximum extent permitted by applicable law, Perpetuoso's total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:
- The amount you paid to Perpetuoso during the 12 months immediately preceding the event giving rise to the claim; or
- US $100.
Some jurisdictions do not allow particular warranty disclaimers or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by applicable law.
Nothing in these Terms limits liability that applicable law does not permit us to limit.
25. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Perpetuoso Inc. and its directors, officers, employees, contractors, and agents from third-party claims, liabilities, losses, and reasonable expenses arising from:
- Your unlawful use of the Service
- User Content that infringes another person's rights
- Your intentional misuse of the Service
- Your material violation of these Terms
- Fraudulent or knowingly deceptive conduct conducted through the Service
This section does not require you to indemnify Perpetuoso for Perpetuoso's own unlawful conduct or for matters that applicable law does not permit us to shift to you.
26. Governing Law
Except where mandatory consumer law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
27. Dispute Resolution
Before filing a lawsuit concerning these Terms, you and Perpetuoso agree to make a reasonable good-faith effort to resolve the dispute informally.
You may begin that process by contacting legal@perpetuoso.com.
Please describe the issue and the resolution you are requesting.
If the dispute is not resolved informally, and except where applicable law gives you the right to proceed elsewhere, claims relating to these Terms or the Service may be brought in a state or federal court of competent jurisdiction located in Delaware.
Nothing in this section eliminates:
- Rights that applicable consumer law does not permit you to waive
- Rights to bring a claim in another jurisdiction when mandatory law permits or requires it
- Rights to seek urgent injunctive or equitable relief when appropriate
These Terms do not require mandatory arbitration.
28. United States Consumer Rights
Users in the United States may have rights under federal, state, or local consumer-protection laws.
Nothing in these Terms is intended to waive a consumer right that cannot legally be waived.
If a provision of these Terms conflicts with a mandatory consumer-protection requirement applicable to you, that mandatory requirement controls to the extent of the conflict.
29. Canadian Users
If you reside in Canada, applicable federal or provincial law may provide rights in addition to those described in these Terms.
Nothing in these Terms is intended to waive a Canadian consumer right that cannot legally be waived.
If a provision of these Terms conflicts with mandatory consumer-protection law applicable in your province or territory, the mandatory provision controls to the extent of the conflict.
Privacy rights for Canadian users are addressed in our Privacy Policy.
Quebec
Where applicable Quebec law requires these Terms or related consumer documents to be provided in French, Perpetuoso will provide the required French version.
If applicable law permits you to choose an English version after receiving the French version, your express choice of the English version will be respected.
30. Changes to These Terms
We may update these Terms from time to time as Perpetuoso changes.
When we make changes, we will update the “Last Updated” date.
If a change is material, we will provide reasonable notice through the Service, by email, or through another appropriate method where required.
Changes apply prospectively unless applicable law requires otherwise.
If a material change requires new consent under applicable law, we will request that consent.
Your continued use of the Service after revised Terms become effective constitutes acceptance where permitted by applicable law.
If you do not agree with revised Terms, you may stop using the Service and request account deletion.
31. Entire Agreement
These Terms, our Privacy Policy, and any additional terms expressly presented for a particular paid plan, promotion, feature, or transaction constitute the agreement between you and Perpetuoso concerning the Service.
They replace prior agreements concerning the same subject matter unless otherwise expressly stated.
32. Severability
If a court or other competent authority determines that a provision of these Terms is invalid or unenforceable, the remaining provisions will remain in effect.
The invalid provision will be enforced to the maximum extent permitted by law or, where appropriate, interpreted as closely as possible to accomplish its lawful purpose.
33. No Waiver
If Perpetuoso does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
A waiver concerning one matter does not constitute a waiver concerning another matter.
34. Assignment
You may not assign or transfer these Terms without our written consent.
Perpetuoso may assign these Terms in connection with a financing, merger, acquisition, corporate reorganization, sale of substantially all assets, or similar transaction.
Any assignment remains subject to applicable law and our obligations concerning personal information.
35. No Agency or Employment Relationship
Your use of Perpetuoso does not create a partnership, joint venture, employment relationship, fiduciary relationship, franchise, or agency relationship between you and Perpetuoso.
Perpetuoso is not your agent in dealings with employers, recruiters, job boards, or other third parties unless we expressly agree otherwise in writing.

Section headings are provided for convenience and do not affect the interpretation of these Terms.
